Esdeath wins both rounds (and my heart).
her ice creation is far, far too much for Sesshomaru to overcome. She’s wicked fast and able to make ice constructs the size of a mountain out of thin air. She’ll use that to escape from a hell portal.
meanwhile her abilities allow her to, albeit slowly, bury an entire empire in ice and kill all life in it.
Round 2 — She freezes time and slits his throat.

Round 1: Tenseiga will protect Sesshomaru if it senses he is in danger from Esdeath's attacks. Sesshomaru can then end Esdeath right there with either a meido zangetsuha sending Esdeath into a portal to hell or he can call upon a dragon strike to end the match right there.
Round 2: Sesshomaru tends to go for the kill with his first move so he could tag Esdeath before she activates time freeze. Bakusaiga will erode Esdeath away the moment Sesshomaru uses its power. Now here's a thought. Esdeath freezes time and tries to hurt Sesshomaru. But would Tenseiga still be active and protect him from attacks even if Esdeath freezes time? If not, then Esdeath uses time freeze and ends the fight right there and now.
So Esdeath can beat Sesshomaru, especially with her time freeze but more times than not, Sesshomaru wins for the majority due to his superior skill, better experience, more destructive power, and wider arsenal.
